1. Scope
These Terms of Service ("Terms") govern the relationship between you ("Participant," "you") and Gridline Institute LLC ("Gridline Institute," "we," "us"), an Oregon limited liability company. By enrolling in any course, accessing any lab environment, or using any service offered by Gridline Institute, you agree to be bound by these Terms. Gridline Institute provides professional development courses and training programs designed for system administrators, IT operations professionals, and related technical roles. If you do not agree with any part of these Terms, you must not use our services.
2. Service Description
Gridline Institute offers a range of professional development services, including but not limited to:
- Instructor-led training sessions delivered in live, scheduled cohorts
- Access to cloud-hosted lab environments for hands-on practice and experimentation
- Course materials such as lesson guides, reference documents, and configuration templates
- Capstone projects that allow participants to demonstrate applied skills
- Certificates of completion issued upon successful fulfillment of course requirements
- Training on remote desktop tools, monitoring platforms, automation utilities, and infrastructure management practices
The specific deliverables for each course are detailed on the relevant course page and in the enrollment confirmation sent to your registered email address. Gridline Institute reserves the right to update course content, schedules, and lab configurations at any time to reflect current industry practices.
3. User Obligations
As a participant, you agree to the following obligations:
- Use lab environments solely for activities related to your enrolled course. Labs are provisioned for educational purposes and must not be used for personal projects, production workloads, or any purpose outside the curriculum.
- Keep your login credentials confidential. You are responsible for all activity that occurs under your account. Do not share your credentials with any third party.
- Refrain from attempting unauthorized access to any system, network, or data that is not expressly part of your assigned lab environment.
- Treat instructors, staff, and fellow participants with professionalism and respect during all interactions.
- Comply with all applicable local, state, and federal laws while using Gridline Institute services.
4. Intellectual Property
All course materials, curriculum content, lab configurations, lesson plans, instructional videos, and written guides are the exclusive intellectual property of Gridline Institute LLC. These materials are provided for your personal educational use only. You may not reproduce, distribute, resell, or publicly display any Gridline Institute materials without prior written consent.
Capstone projects and any original work you produce during a course remain your property. By submitting capstone work for evaluation, you grant Gridline Institute a non-exclusive, royalty-free license to use anonymized excerpts for internal quality assurance and promotional purposes, unless you opt out in writing.
5. Payment Terms
All course fees must be paid in full before the start date of your enrolled cohort, unless you have been approved for a payment plan. Payment plans, where available, divide the total fee into scheduled installments as outlined in your enrollment agreement. All fees are denominated in United States Dollars (USD).
Refund requests submitted within the first fourteen (14) calendar days after the cohort start date will be honored in full. After this two-week window, fees are non-refundable. If Gridline Institute cancels a cohort for any reason, enrolled participants will receive a full refund or the option to transfer into the next available cohort at no additional cost.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Gridline Institute LLC shall not be held liable for any indirect, incidental, special, or consequential damages arising from your use of our services. This includes, without limitation, loss of data, loss of revenue, or interruption of business. In no event shall the total liability of Gridline Institute exceed the aggregate amount of fees you have paid to Gridline Institute for the specific course or service giving rise to the claim. This limitation applies regardless of the legal theory under which liability is asserted.
7. Warranty Disclaimer
All courses, lab environments, and related services are provided on an "as is" and "as available" basis. Gridline Institute makes no warranties, express or implied, regarding the suitability, reliability, or availability of any service. We do not guarantee specific career outcomes, salary increases, job placements, or third-party certification results as a consequence of completing any course. Participation in our programs is for educational enrichment, and individual results will vary based on each participant's effort, background, and circumstances.
8. Termination
Either party may terminate the enrollment relationship by providing fourteen (14) calendar days of written notice to the other party. If you choose to withdraw from a course after the refund window described in Section 5, you may request to roll your enrollment into the next available cohort of the same course at no additional charge, subject to availability. Gridline Institute reserves the right to immediately terminate your access if you violate any provision of these Terms, including misuse of lab environments or unauthorized sharing of credentials.
9. Data Protection
Gridline Institute collects, processes, and stores personal information in accordance with our Privacy Policy. By using our services, you acknowledge that you have read and understood the Privacy Policy. We are committed to safeguarding your personal data and handling it in compliance with applicable privacy regulations.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States of America, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be subject to the jurisdiction described in Section 11.
11. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its then-current Commercial Arbitration Rules. The arbitration shall take place in Portland, Oregon. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorney fees unless the arbitrator determines otherwise.
